Through Frameworks For Change, Kelly has worked with clients in Canada, USA, Ireland, Haiti, Philippines, Thailand and Australia, each with its own unique competitive environment and legislative/regulatory structure. She has worked with financial service providers, associations, foundations, municipalities, co-operatives and for-profit organizations.

She has undertaken numerous corporate governance related engagements involving analysis, recommendations for improvement and implementation-ready solutions. Such work has entailed recommendation of best practice standards and related action plans to strengthen governance, enable organizational growth and enhance operating performance.

As a management consultant with Ernst & Young, she earned a Certified Management Consultant (CMC) designation, an internationally recognized professional accreditation, setting her apart from the consulting community at large. The CMC designation is attainable only by those management consultants who have chosen to undergo a rigorous, intensive process of certification.

CERTIFIED MICROFINANCE EXPERT

Kelly earned the designation of Certified Microfinance Expert from the Frankfurt School of Finance & Management.

​Frameworks For Change is an international management consulting practice, working with clients in North America, Europe, Asia, the Caribbean and Australia. Clients include financial services organizations (wholesale, retail, credit unions, microfinance institutions), not-for-profits, foundations, health care organizations, municipal governments, trade associations.

To each client situation, she brings her substantive experience as a Corporate Secretary, Board Member and Corporate Planning Executive in both for-profit and not-for-profit organizations. Her management consulting skills have been developed through her years with Ernst & Young as well as her years as an in-house consultant in industry, and continue to evolve in her current practice.

Her approach is tailored to each client engagement and involves the understanding of each client’s legislative environment, industry position and current strategic issues in order to properly assess corporate governance frameworks in the appropriate context. Taking a detailed approach to her analysis, Kelly reviews written documentation, observes existing processes and interviews key players as required. Consulting deliverables are provided through interactive workshop settings, written documents and reports, and one-on-one coaching as appropriate.

Frameworks For Change is led by Kelly Bottone who offers clients a proven track record spanning more than 25 years of consulting, board and management experience in a variety of industry sectors.

Kelly is a trusted advisor to Boards of Directors, CEOs and their Senior Management Teams, who works closely with her clients to assess existing governance frameworks and recommend and develop required structures, tools and processes to ensure compliance with best practice corporate governance standards.

A strategic thinker and problem solver, an experienced business writer, facilitator and coach, Kelly is adept at analyzing and creating corporate governance frameworks that fit within each client’s industry context and regulatory requirements.

CORPORATE GOVERNANCE CREDENTIALS

​Prior to launching her international consulting practice, Kelly worked within the financial services sector as well as with an international management consulting firm, Ernst & Young, and an integrated oil company.

Most recently she was responsible for both national and provincial corporate governance and strategic planning processes in the Canadian co-operative financial services sector over a nine-year period, a (then) $50 billion industry, involving a national association, nine provincial associations and five hundred local community credit unions. Her corporate mandates included responsibility for corporate governance, legal affairs, strategic planning, communications, research, payments systems and the provision of governance and strategy consulting services to member financial service co-operatives.

In her career, Kelly has held the position of Corporate Secretary for 5 federally regulated financial institutions and 3 trade associations in Canada, representing a combined total of more than 20 years of corporate secretarial experience. She was responsible for all facets of Board governance and compliance for a national agricultural finance company, a national leasing company, a national credit card issuer, a national wholesale financial institution/trade association, a provincial wholesale financial institution/trade association and a national association.

Kelly has served on the Board of Directors of a national leasing company, a national agricultural finance provider, a national association, a regional health care provider, a community foundation and a provincial association, representing a combined total of more than 20 years of Board experience. She has held the position of Chair, Governance Committee during most of her years of Board experience.
